Biography
Matthew Rudolph is a partner in the firm’s Corporate and Securities Group.
Matthew counsels both publicly traded and private companies in connection with private and public equity offerings, mergers and acquisitions, strategic investments, joint ventures and corporate governance issues.
Matthew plays a leading role in the firm’s global capital markets practice, with a specific emphasis on Israeli companies and investors in the U.S. capital markets, including IPOs, follow-on offerings, private placements in public equities (PIPEs), public company mergers, SPAC and de-SPAC transactions, as well as SEC reporting and compliance and related corporate governance matters.
Prior to joining Meitar, Matthew practiced law at leading law firms in both Chicago and Tel Aviv and served as a legal advisor in the International Law Department of the Military Advocate General Corps of the Israel Defense Forces.

- Represented Similarweb Ltd. (NYSE) in its $165 million initial public offering.
- Represented Quoin Pharmaceuticals Ltd. (Nasdaq) in a private placement financing with aggregate gross proceeds of up to $104.5 million.
- Represented Ayala Pharmaceuticals, Inc. (Nasdaq) in its $55 million initial public offering.
Mergers & Acquisitions
- Represented CyberArk Software Ltd. in its acquisition by Palo Alto Networks for approximately $25 billion.
- Represented Sapiens International Corporation in its sale to Advent International for approximately $2.5 billion.
- Represented WalkMe Ltd. in its acquisition by SAP for approximately $1.5 billion.
- Represented Tufin Software Ltd. in its acquisition by Turn/River Capital for approximately $570 million.
- Represented Alpha Tau Medical Ltd. (Nasdaq) in its de-SPAC merger with Healthcare Capital Corp., a transaction valued at approximately $1 billion.
- Represented Chemomab Therapeutics Ltd. (Nasdaq) in its reverse merger with Anchiano Therapeutics, resulting in Chemomab becoming a public company on the Nasdaq.

- Represented CyberArk Software Ltd. in its $1.25 billion convertible senior notes offering.
- Represented the initial purchasers in Check Point Software Technologies Ltd.’s $1.75 billion convertible senior notes offering.
- Represented Mizrahi Tefahot Bank in two separate bond offerings totaling $1.4 billion.
