Biography
Yonatan Gazit is a Partner in the firm’s Israeli Corporate and Capital Market Departments.
Yonatan represents private and publicly traded corporations in a wide variety of corporate and commercial transactions, including in the Israeli capital market, private and public debt and equity financings s on the Tel-Aviv Stock Exchange. Yonatan also advises companies with respect to a broad range of corporate and securities matters, including their corporate governance aspects, remuneration of officers and employees, interactions with the Israeli Securities Authority and the Tel Aviv Stock Exchange.
In addition, Yonatan represents corporations in a wide range of international and domestic corporate transactions, including mergers and acquisitions and equity financings.
Representative Experience
- Representation of Sapiens International Corporation in its sale to Advent for $2.5 billion.
- Representation of Tapugan Industries Ltd. and its shareholders in the transaction for the sale of Tapugan to the Green Lantern fund for NIS 507 million.
- Representation of G City Ltd. (formerly Gazit-Globe) in an offering prospectus and a spin-off prospectus, under which G City distributed shares of its subsidiary, Atrium, as a dividend in kind to its shareholders, and raised tradable bonds in the amount of approximately NIS 1.4 billion.
- Representation of G City Ltd. in a wide range of public offerings, both debt and equity, with a total value of billions of NIS.
- Representation of the Liora Ofer Group in the acquisition of minority shares in Ofer Investments Ltd. (the parent company of Melisron Ltd. (listed for trading on the Tel Aviv Stock Exchange)) for hundreds of millions of NIS.
- Representation of the Shahar family in the transaction for the acquisition of the controlling interest in Bayit VeGag Real Estate Entrepreneurship Ltd. (traded on the Tel Aviv Stock Exchange), by way of a special tender offer.
- Representation of Yeinot Bitan in its acquisition by Electra Consumer Products.
